XAN'S PICTURE : ORDER FORM & SALES CONDITIONS I. HELP If this text appears in the order form itself, the current help box can be called at any time by clicking on the HELP button, at the top of the form. To order, click on the QUIT HELP button (or on the NEW STYLE button if you just arrived). II. WHAT ARE YOU BUYING ? Xan's pictures are anonymous, unsigned art works. These works are designed following the criteria you will define on this form. Ordering such a work, you trust our company for providing you with an image of an artistic quality that matches the production displayed on our web site, in the pages entitled SOUVENIRS OF XAN. Meanwhile, in order to allow us to identify your wishes, this form offers you the possibility to append a description of your preferences, about the colors and the style of the ordered art works. Every art work is different, and giving a preference for a style or a color palette never implies a copy, in whole or in any part, of the samples presented as references on this web site, nor the reproduction of any model : this information only allows us to parametrize a logical robot and its environment. It does not imply any commitment regarding the style or your planned use of the art works. This order form is a simple tool that allows you to get high quality art works for a modest price, where it is stipulated that you fully trust the artist for the result. The images are explicitely provided 'uncopyrighted', this to the largest extent allowed by law : this means that once they are delivered, you become the effective owner of the provided pictures. This includes all rights to modify, copy, print, license, and/or resell them to third parties. If your requirements regarding the style and/or the content of the images are different and/or more precise than the possibilities offered by this form, please do not use the latter, and contact us directly by e-mail. III. ELEMENTS OF THE ORDER This order form allows you to order from 1 to 20 different image styles, with 1 to 10 pictures for every style (this means a total of 1 to 200 images). To create a new style : click on the NEW STYLE button. To order several pictures in a same style : select the number of images to order in the field NUMBER OF PICTURES IN THIS STYLE. To visualize or modify an already defined style : select the style in the STYLE list (top of the form). To remove a style from the order : select first the style to remove in the STYLE list, then click on the REMOVE THIS STYLE button. As you record your orders, the total current price is always adjusted in the top/right frame on the form. The price for each style package is displayed in the frame located just under the latter. Prices are given VAT (European value-added tax) included. If you don't reside on the territory of the European Union, you don't have to pay the VAT, and the "VAT excluded" price is the one that applies to you. EU-based companies or individuals with a valid, registered VAT number should read the additional information below. When your order is ready, fill in the rest of the form with your name/address/e-mail, and payment information, than click on the CONFIRM ORDER button at the bottom of the form to send your order. No order will be sent or recorded unless this button is pressed. Do not forget to note down the REFERENCE of your order, as shown next to the confirmation button. IV. YOUR PREFERENCES This form allows you to append the following style parameters : 1. Picture size - WIDTH, in pixels. Minimum : 10 pixels. Maximum : 600 pixels - HEIGHT, in pixels. Minimum : 10 pixels. Maximum : 400 pixels 2. Color palette Choose one of the two following options : USE CUSTOM PALETTE : define yourself, on the form, the color palette of your image. USE MODEL : select the reference of an existing image from our gallery. The same color palette (or a close one) will be used to draw your picture. With the first option, you can also ask us to respect the palette FOR BEST RESULT or STRICTLY. FOR BEST RESULT : the artist has the flexibility of choosing a palette that is close enough to yours, for the best result, with a maximum margin of 20%. STRICTLY : your palette will be used 'as is'. You just leave us a 4% variation margin, due to usual hardware and software configurations (you are supposed to view this form with a 65536 colors display mode screen, at least). Also note that non-PNG formats like GIF or JPEG often induce higher color variations. 3. Picture style FREE STYLE : to the artist's choice. With this option, you will probably get a new style not represented among our models. PREFERENCE : Selecting a preference gives us a general indication on the type of image you wish to obtain. 4. Number of pictures using this same style Select here the number of different pictures to be generated, using the same style. (See section VI for the price list) V. FILE FORMAT The ordered pictures being sent by e-mail, only popular compressed image formats are available. Among the 3 available formats, we recommand the default option (PNG - Portable Network Graphics), a format that allows a good, lossless compression, regardless the number of colors. This format is compatible with recent browsers and with most actual image converters. The GIF format supports a maximum of 256 colors. JPEG compression induces a loss of precision on the image. Choosing the PNG option, you will always get the original image, as generated by the robot Xan, and you will still be able to convert it into any other format, including GIF and JPEG, using any common graphic file converter. If you order a GIF or JPEG format, you will not receive the original picture. VI. PRICING The total price for an image style depends on the size of the image (obtained by multiplying WIDTH and HEIGHT), and on the number of ordered pictures using the same style. PAYMENT Orders are processed only after confirmation of the FULL payment. 1. Credit card THE recommanded method : fast, secure, and unexpensive. VISA, MASTERCARD, AMERICAN EXPRESS, JCB, MAESTRO, CARTE BLEUE, CIRRUS, VISA, VISA ELECTRON and EDC cards are accepted. Your credit card data is to be sent through our secure form. The secure form shows up when you click on the CONFIRM ORDER button, provided that you selected ONLINE WITH CREDIT CARD as your PAYMENT METHOD. The connexion is highly secured, using 40-bit or 128-bit SSL-3 encryption depending on your browser : the data are encrypted before being sent to your credit card company, through our partner ING (Internet Networking Group). ING is authorized to perform secure online payments by all major credit card companies. ING offers a security chain forbidding us to store sensible credit card data from our customers : the only data we receive is an automatic confirmation of your payment. This means that we will NOT be in possession of your credit card information after your payment through this form. All amounts are in EURO. Indicative exchange rates to/from major currencies can be found by clicking on the currency converter link at the bottom of the form. 2. Bank transfer COMPANIES and INDIVIDUALS having a bank account in Belgium have the possibility to pay by bank transfer to our account, without additional charge. If the payment is to be made from another country, please check that the amount that arrives on our account corresponds exactly, in EURO, to the amount indicated on this form, with the option BY BANK TRANSFER as PAYMENT METHOD. Currency exchange charges and other fees asked by your bank are supported by you. We only bear the costs asked by our destination bank in Belgium. An additional fixed sum is asked to cover these charges : 15 EURO (VAT 21% excl) for transfers from within the European Union, 30 EURO if the transfer is made from another country. This sum is automatically included in the amount TO PAY indicated at the bottom of the form, when you select BY BANK TRANSFER option as PAYMENT METHOD. If you wish to speed up the processing of your order, you should give instruction to your bank to advise us by fax as soon as the payment transaction is initiated. Otherwise, delivery will always be delayed until the payment transaction is completed. IMPORTANT !! * * * * On the transfer form, give as a structured communication * * the REFERENCE of this order, as given at the bottom * * of the form. * ************************************************************ If you choose BY BANK TRANSFER as PAYMENT METHOD, clicking on the CONFIRM ORDER button will send us your order. Orders are stored during 45 days, waiting for your payment. Passed this time limit, you will have to place a new order. VIII. Value Added Tax The VAT (Value Added Tax) is a tax which applies to goods and services sold in the European Union. Under article 21,§3,7°,a of the Belgian VAT code (transfer of copyrights), no VAT is to be paid for Xan's pictures if you reside outside of the territory of the European Union. EU-based companies, if not based in Belgium, can avoid paying VAT, provided they communicate us their VAT number (on the order form), and declare the VAT in their own country. Prices listed above are VAT excluded. On the order form however, VAT (at the Belgian rate of 21%) is automatically added to the total amount of the order, when VAT payment is requested. Be carefull when you fill the form : if the VAT number is not valid, delivery will be delayed until payment of the 21% VAT supplement. IX. INVOICE / RECEIPT We make out an invoice for every delivery if you give us your name and address. By default, the invoice is sent by regular post to the address given on the order form. If you wish to receive it by fax, please select FAX in SEND INVOICE/RECEIPT, and specify your fax number (with international prefix). If your fax is repeatedly unaccessible, the invoice will be sent by post. There is no invoice/shipment charges if the total amount to pay is higher than 120 EURO or for EU-based orders. If you don't meet one of these conditions, an additional 8 EURO will automatically be included in the AMOUNT TO PAY at the bottom of the form. You can also select NO in SEND INVOICE/RECEIPT : you will then only receive an e-mail receipt with the details of the payment. No invoice/shipment will then be charged. X. DELIVERY The pictures are sent to the e-mail address provided in the DELIVER PICTURES AT field. If you have an alternative e-mail address (preferably on another server), please give it, in case the first one is temporarily unaccessible. The pictures are delivered as attached files, within a time limit of 3 working days (Monday - Friday) following the date of the confirmation of your payment (this means immediately if you pay by credit card). All copyrights on the pictures are transfered to you by the simple fact of their delivery. However, by accepting the terms of this agreement, you acknowledge the right for Neural Semantics to keep electronic copies of the delivered pictures, for internal management and control purposes. Any question related to orders which have already been placed can be sent by e-mail to orders@neuralsemantics.com, with the REFERENCE of the order in the subject line. XI. LIMITATION OF LIABILITY Neural Semantics accepts no responsibility for delays and/or non-execution of the delivery if any of the data provided on this form is inaccurate and/or missing, and/or if the e-mail address(es) given for the delivery is(are) not operational.
